General Terms and Conditions of Sale B TO B – B TO C

1. Preamble & Scope of Application
1.1. These General Terms and Conditions of Sale (hereinafter the "GTC") govern all sales of products and services carried out by Habilis Numericus LTD, a company incorporated under English law and registered in England and Wales under number 12241156, whose registered office is located at P.O Box 43851, CF14 8LH Cardiff, United Kingdom (hereinafter the "Seller"), for the benefit of:
- Any adult natural person acting for non-professional purposes (B2C);
- Or any professional, legal entity or natural person acting within the scope of their business activity (B2B).
Habilis Numericus LTD and the Customer are hereinafter individually referred to as a "Party" and collectively as the "Parties".
1.2. These GTC apply to any order placed on or through the kubb.eu website (hereinafter the "Site"), whether placed directly online or via customer service, and take precedence over any general purchasing conditions of the Customer, unless expressly, written and prior acceptance has been granted by the Seller.
1.3. Acceptance of the GTC is evidenced by:
- For B2C Customers, checking the box provided for this purpose during the order process, associated with the statement: "I have read the General Terms and Conditions of Sale and accept them without reservation";
- For B2B Customers, electronic or written validation of the order after reviewing the order summary.
Any order implies careful reading and full and unconditional acceptance of these GTC as in force at the date of order validation.
1.4. For individual Customers (B2C), these GTC are governed by English law, without prejudice to the mandatory consumer protection provisions in force in the Customer's country of residence. Accordingly:
- Customers residing in the European Union benefit from the protections afforded by the law of their country of residence, particularly regarding the right of withdrawal, legal guarantees and pre-contractual information;
- Customers residing in the United Kingdom benefit from the protections afforded by the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013;
- Customers residing in other countries benefit from the mandatory protections of their applicable national legislation, including the Australian Consumer Law (Australia), the Consumer Protection Act (Canada), and equivalent legislation in other jurisdictions.
1.5. For professional Customers (B2B), these GTC are governed exclusively by English law, to the exclusion of any other legislation. They govern the contractual relationship with Habilis Numericus LTD, to the exclusion of any other conditions, unless agreed in writing.
1.6. Habilis Numericus LTD reserves the right to modify these GTC at any time without prior notice. The applicable GTC are those in force at the date of the Customer's final order validation.
2. Definitions
- B2C Customer: consumer within the meaning of the legislation applicable in their country of residence.
- B2B Customer: natural or legal person acting within the scope of their commercial, craft, professional or industrial activity.
- Order: firm offer from the Customer via the shopping basket.
- Contract: concluded when the Seller sends the order confirmation, initiates delivery or debits the account.
- Product: any good or service offered for sale on the kubb.eu website.
3. Order & Contract Formation
3.1. Order Procedures
a) B2C Customers
Individual Customers may place an order in two ways: by creating a personal account on kubb.eu, enabling detailed tracking of order history and simplified management of delivery and billing data, or by ordering as a guest, without creating an account, by providing the information necessary for billing, delivery and secure payment.
In both cases, the Customer selects the desired Products from the product pages on the Site. Visuals are provided for illustrative purposes only. The Customer may, at any time before final validation, view and modify the contents of their order via the "My basket" button.
Once the Products have been selected, the Customer proceeds to finalise their order, accepts these GTC and makes payment. The order is only considered final after full payment validation. Habilis Numericus LTD then sends a confirmation email summarising the order details.
b) B2B Customers
Professional Customers may place an order via the kubb.eu website, following a procedure similar to that described for B2C, or off-site, through the Habilis Numericus LTD sales department, by email, post or telephone. In the latter case, a quotation is sent to the Customer with a validity period of 15 days. The order is processed upon receipt of the signed quotation marked "agreed", without modification, accompanied by the chosen payment method. In all cases, the order is only considered accepted after payment validation.
3.2. Contract Formation
The sales contract is deemed concluded at the earliest of the following events: written confirmation of the order by Habilis Numericus LTD (email, purchase order, signed quotation), commencement of delivery, or effective receipt of payment. Habilis Numericus LTD undertakes to acknowledge receipt of the order within five (5) business days.
3.3. Order Modification
The Customer may correct data entered and the contents of their order at any time before final validation. Any request for modification after validation requires the written agreement of Habilis Numericus LTD and may result in a revision of the price or timeframe initially indicated.
3.4. Availability and Pre-orders
Products offered for sale are accompanied by a contractual technical description. Their availability is specified on the Product page. In the event of unavailability at the time of confirmation, Habilis Numericus LTD will inform the Customer as soon as possible and propose alternative solutions. Some Products may be subject to pre-order, without automatic purchase commitment.
3.5. Order Refusal
Habilis Numericus LTD reserves the right to refuse or cancel any order for legitimate reasons, including abnormally high orders, unresolved prior disputes, suspicion of fraud or exceeding an authorised credit limit for professional Customers.
4. Prices & Payment Terms
4.1. Applicable Prices
a) B2C Customers
Prices displayed on the Site are inclusive of all taxes (VAT included), excluding delivery charges. The delivery charge amount is specified before final order validation. For any order delivered outside the United Kingdom, local taxes, customs duties or clearance fees may apply and are the sole responsibility of the Customer.
b) B2B Customers
Prices are expressed inclusive of all taxes (VAT included) for ease of consultation. Invoices issued to professional Customers detail the amounts excluding VAT, the applicable VAT rates and the total amount including VAT. Prices quoted in a quotation are valid for 15 days unless otherwise indicated.
c) Price Revision
Habilis Numericus LTD reserves the right to modify its prices at any time. The price applicable to the order is that displayed or agreed at the time of final validation.
4.2. Payment Terms
a) B2C Customers
Accepted payment methods are credit/debit card (Visa, Mastercard, American Express) via 3D Secure protocol, and PayPal. Habilis Numericus LTD does not store Customers' banking details. This information is processed exclusively by PCI-DSS certified partner platforms (Stripe, PayPal).
b) B2B Customers
Payment is due upon receipt unless particular conditions have been agreed between the Parties. Accepted payment methods are bank transfer, credit/debit card and SEPA direct debit for account Customers. In the event of late payment, penalties are applied at a rate of 5 times the applicable legal interest rate, together with a fixed recovery indemnity of £40.
5. Delivery & Transfer of Risk
5.1. Delivery Address and Procedures
Products are delivered to the address specified by the Customer at the time of ordering. For B2B Customers, delivery may be made in instalments if volumes or availability so require. In the event of absence at the time of delivery, a second delivery attempt may be made at the Customer's expense.
5.2. Delivery Timeframe
Except in cases of force majeure, Habilis Numericus LTD undertakes to deliver Products within a maximum of 15 business days from contract validation. In the event of this timeframe being exceeded, the B2C Customer may formally request Habilis Numericus LTD to deliver within a reasonable timeframe, and then terminate the contract in the event of persistent non-performance. Reimbursement of amounts paid will take place within fourteen (14) days of termination, in accordance with the applicable legal provisions in the Customer's country of residence.
5.3. Transfer of Risk
For B2C Customers, the transfer of risk occurs upon physical handover of the Product. For B2B Customers, the transfer of risk occurs upon handover to the carrier, evidenced by a dispatch note.
5.4. Inspection upon Receipt
Upon receipt, the Customer must check the condition of the packaging, the number of parcels, and the condition and conformity of the Products delivered. In the event of any anomaly, the Customer must issue precise reservations on the delivery note in the presence of the carrier and send written confirmation to Habilis Numericus LTD within seven (7) days of delivery to sales@kubb.eu. Failure to follow this procedure constitutes definitive acceptance of the Products delivered.
5.5. International Delivery
Customs duties, import taxes and clearance fees are the sole responsibility of the Customer. Some Products may contain technologies subject to export regulations and may not be transferred to countries subject to international restrictions.
6. Right of Withdrawal & Returns
6.1. Right of Withdrawal (B2C Customers only)
Consumer Customers have a period of fourteen (14) calendar days from receipt of the Products to exercise their right of withdrawal, without having to justify their reasons or pay any penalties. This period is consistent with the Consumer Contracts Regulations 2013 (United Kingdom) and Directive 2011/83/EU (European Union).
To exercise this right, the Customer must notify Habilis Numericus LTD of their decision to withdraw by email to sales@kubb.eu or via the withdrawal form available on the Site.
The Customer then has a further fourteen (14) days to return, at their own expense, the Products concerned in their original condition, unused, undamaged, complete and in their original packaging, to the following address:

Reimbursement, including the initial standard delivery charges, will take place within fourteen (14) days of receipt of the returned Products or proof of dispatch, whichever is earlier. The right of withdrawal does not apply to Products personalised at the Customer's request, to software whose seal has been broken or installation carried out, or to Products unsealed by the Customer after delivery.
6.2. No Right of Withdrawal (B2B Customers)
No return is accepted without prior written agreement from Habilis Numericus LTD.
6.3. Returns outside the Right of Withdrawal
Any Product return outside the legal framework requires the prior written agreement of Habilis Numericus LTD. A return number will be assigned to the Customer and must appear clearly on the returned parcel. No return will be accepted carriage forward or cash on delivery.
6.4. Software Products and Licences
The right of withdrawal or return is conditional upon non-activation of the software, integrity of the seal and complete restitution of the Product in its original configuration. In the event of licence activation, the return may be refused.
7. Guarantees
7.1. Legal Guarantees (B2C Customers)
Independently of any commercial guarantee, Habilis Numericus LTD is liable for defects of conformity and hidden defects in accordance with the legislation applicable in the Customer's country of residence. Customers residing in the United Kingdom benefit from the protections afforded by the Consumer Rights Act 2015. Customers residing in the European Union benefit from the legal guarantees provided by the law of their country of residence, including a legal guarantee of conformity of two (2) years.
For customers residing in Australia, the Australian Consumer Law provides guarantees that cannot be excluded, including guarantees as to acceptable quality and fitness for purpose.
For customers residing in Canada, provincial consumer protection legislation provides equivalent guarantees in each province.
For customers residing in other countries, the mandatory guarantee provisions of their applicable national legislation apply.
7.2. Commercial Guarantee of Habilis Numericus LTD
Habilis Numericus LTD provides a complementary commercial guarantee on its Products. The duration of this guarantee varies from 2 to 5 years depending on the Product and is specified on the descriptive sheet of each Product available on the Site or in the documentation provided. This commercial guarantee covers only manufacturing or operating defects under normal use and is subject to the Product being used in accordance with its intended purpose.
Before any return under guarantee, the Customer must obtain a return number from customer service at sales@kubb.eu, remove their personal data and back up any data stored on the Product.
Excluded from the guarantee are defects due to abnormal use, impact, power surges, humidity, extreme environmental conditions, or unauthorised modification, as well as third-party components and software installed by the user.
7.3. Common Exclusions
No guarantee will apply if Products have been damaged by negligence, misuse, incorrect installation, unauthorised modification or repair, or if defects result from normal wear and tear.
7.4. After-Sales Service
After-sales service is accessible by email at sales@kubb.eu. The Customer undertakes to cooperate with Habilis Numericus LTD agents and provide any information useful for resolving the problem.
8. Liability & Limitation of Guarantee
8.1. Liability towards B2C Customers
Habilis Numericus LTD is liable for the proper performance of contractual obligations, the conformity of Products delivered and delivery without undue delay. Habilis Numericus LTD may be exonerated from all or part of its liability by proving that non-performance is attributable to the Customer or results from a case of force majeure. Habilis Numericus LTD shall under no circumstances be liable for indirect damages or the consequences of abnormal use of the Products.
8.2. Liability towards B2B Customers
The liability of Habilis Numericus LTD is limited to direct and foreseeable damages resulting from a proven breach of its contractual obligations. In any event, the total liability of Habilis Numericus LTD shall not exceed the amount excluding VAT actually received in respect of the disputed order.
8.3. Force Majeure
Habilis Numericus LTD shall not be liable for non-performance of its obligations in cases of force majeure, including war, terrorist attack, cyberattack, network failure, strike, health crisis or emergency administrative measure. Performance of obligations is suspended for the duration of the event and may be terminated without compensation if the duration exceeds sixty (60) days.
9. Intellectual Property & Personal Data
9.1. Intellectual Property
All content on the kubb.eu website is the exclusive property of Habilis Numericus LTD or its partners. Any reproduction, adaptation or partial or total exploitation, in any form whatsoever, is strictly prohibited without the prior written authorisation of Habilis Numericus LTD. The purchase of a Product does not entail any transfer of intellectual property rights. Software or firmware integrated into Products is granted as a non-exclusive, non-transferable licence of use limited to the use of said Products. Any circumvention of technical protection measures, decompilation or reverse engineering is strictly prohibited.
9.2. Personal Data
Habilis Numericus LTD collects and processes the personal data of its Customers in accordance with the UK GDPR and the GDPR for customers residing in the European Union. The data collected is used for the management of orders, deliveries, customer relations and after-sales service. It is retained for the duration of the contractual relationship, then archived for three (3) years. Payments made via Stripe or PayPal involve the transfer of data to third countries, governed by standard contractual clauses approved by the European Commission. 10. Retention of Title
10.1. Principle
Habilis Numericus LTD retains full and complete ownership of Products sold until effective and complete payment of the price. Transfer of ownership to the Customer only occurs upon full payment of the price.
10.2. Transfer of Risk
Notwithstanding the retention of title clause, the transfer of risk occurs upon handover of the Products to the Customer for B2C, and upon handover to the carrier for B2B.
10.3. Customer Obligations
Until the Products are fully paid for, the Customer undertakes to keep them in good condition and not to resell, transform or transfer them to a third party without prior written authorisation from Habilis Numericus LTD. In the event of seizure or third-party intervention, the Customer must immediately inform Habilis Numericus LTD to enable it to assert its rights.
10.4. Clause applicable to professional Customers only
For professional Customers, Products in stock are presumed to be those unpaid. Habilis Numericus LTD may carry out a joint inventory to identify and reclaim goods remaining its property. Any deposit already paid will remain with Habilis Numericus LTD as a penalty clause, without prejudice to any additional recourse.
11. Governing Law & Dispute Resolution
11.1. Governing Law
These GTC are governed by English law, to the exclusion of any other legislation, subject to the mandatory consumer protection provisions applicable in the country of residence of the B2C Customer. In the event of translation of the GTC, only the French version shall prevail in the event of any discrepancy of interpretation.
11.2. Customer Service – Prior Complaint
In the event of any difficulty, disagreement or complaint relating to an order or the application of these GTC, the Customer is invited to contact Habilis Numericus LTD customer service first in order to seek an amicable solution:

11.3. Mediation – B2C Customers
In the event of failure of the internal complaint procedure, Consumer Customers have the following recourse depending on their country of residence:
For customers residing in the United Kingdom, Habilis Numericus LTD subscribes to a mediation scheme approved by the Chartered Trading Standards Institute (CTSI). The contact details of the competent mediator are available on request at sales@kubb.eu.
For customers residing in the European Union, the European online dispute resolution platform (ODR) is accessible at: https://ec.europa.eu/consumers/odr
For customers residing in Australia, disputes may be referred to the relevant state or territory consumer protection agency or the Australian Competition and Consumer Commission (ACCC, www.accc.gov.au).
For customers residing in Canada, disputes may be referred to the relevant provincial consumer protection office.
For customers residing in the United States, disputes may be referred to the relevant state consumer protection agency or the Federal Trade Commission (FTC, www.ftc.gov).
11.4. Jurisdiction
For B2C Customers, any dispute may be brought before the competent court of the consumer's country of residence or place of delivery, at the Customer's choice, in accordance with the applicable jurisdictional rules in their country of residence. For B2B Customers, in the absence of an amicable resolution, any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales, even in the event of multiple defendants or third-party proceedings.
11.5. Specific provisions for customers residing in France and Belgium
For consumer Customers residing in France, the following provisions apply as a matter of law, notwithstanding any other stipulation of these GTC:
The legal guarantees of conformity (articles L.217-3 to L.217-20 of the French Consumer Code) and against hidden defects (articles 1641 to 1649 of the French Civil Code) are applicable. In the event of a lack of conformity, the Customer has 2 years from delivery to take action. In the event of non-delivery within the agreed timeframe, reimbursement will take place within 14 days in accordance with article L.216-2 of the French Consumer Code.
In accordance with article L.616-1 of the French Consumer Code, Habilis Numericus LTD has subscribed to the mediation service [name of mediator to be completed]. In the event of an unresolved dispute, the Customer may contact this mediator at the following address: [contact details to be completed]. For consumer Customers residing in Belgium, the provisions of the Belgian Code of Economic Law (Book VI) apply, including the 2-year legal guarantee of conformity. In the event of an unresolved dispute, the Customer may contact the Consumer Mediation Service: www.mediationconsommateur.be
12. Environmental Responsibility & Equipment Take-back
12.1. Environmental Commitment
As part of its Corporate Social Responsibility (CSR) policy, Habilis Numericus LTD is committed to limiting the environmental impact of its activities by ensuring responsible management of end-of-life Products, in accordance with European Directive 2012/19/EU on waste electrical and electronic equipment (WEEE) and its applicable national equivalents. Habilis Numericus LTD declares all equipment placed on the market to the competent authorities and pays eco-contributions to approved eco-organisations.
12.2. Take-back of Old Equipment – B2C Customers
Habilis Numericus LTD offers consumer Customers a "one-for-one" take-back scheme: upon purchase of an equivalent new piece of equipment, Habilis Numericus LTD will take back the old used equipment free of charge. To benefit from this service, the Customer must make an express request at the time of ordering or within 24 hours of purchase by contacting customer service at sales@kubb.eu. Collected equipment is sent to approved processing centres to ensure recycling or recovery in compliance with environmental standards. The Customer is also informed that they may deposit their old equipment at approved recycling centres or retailer collection networks, without any obligation to purchase.
12.3. Take-back & Customer Obligations – B2B Customers
Professional Customers are informed that, in accordance with European Directive 2012/19/EU on waste electrical and electronic equipment (WEEE) and its national equivalents, they are required to manage the end of life of their equipment responsibly.
To this end, the professional Customer undertakes to:
- Return used equipment at their own expense to approved collection facilities designated by Habilis Numericus LTD or to any partner eco-organisation referenced on the kubb.eu website, within 30 days of acquiring an equivalent piece of equipment;
- Comply with the sorting, packaging and safety instructions communicated by Habilis Numericus LTD, particularly with regard to equipment presenting a particular risk (swollen batteries, severely damaged equipment, etc.);
- Not dispose of equipment with unsorted municipal waste, in accordance with the "crossed-out wheelie bin" symbol on the relevant Products;
- Retain proof of handover to approved collection channels, in order to be able to produce them in the event of an inspection.
Habilis Numericus LTD undertakes to provide, upon request, a treatment or recycling certificate for collected equipment, thereby ensuring the traceability of flows in a circular economy approach. Failure by the professional Customer to comply with these obligations engages their sole liability under the applicable environmental regulations, without Habilis Numericus LTD being held liable in this respect.
13. Miscellaneous Provisions
13.1. Entire Agreement
These GTC constitute the entire agreement between the Parties and supersede all prior agreements, commitments or negotiations relating to their subject matter.
13.2. Severability
If one or more provisions of these GTC are held to be invalid or declared as such pursuant to a law, regulation or final decision of a competent court, the remaining provisions shall retain their full force and effect.
13.3. Non-waiver
The fact that Habilis Numericus LTD does not at any given time avail itself of any of the provisions of these GTC shall not be interpreted as a waiver of its right to avail itself of such provision at a later date.
